Brooke Coghlan is a partner in our corporate transactions practice

Brooke practises in the area of general corporate as an expert in mergers & acquisitions for private equity clients and take privates.

She has had integral roles on a number of high-profile and complex M&A transactions for private companies and private equity firms for 15 years, including:

  • Receivers (McGrath Nicol): in relation to the sale of Healthscope.
  • 7-Eleven and its shareholders: on the competitive sale of 7-Eleven Australia to 7IN International.
  • Tanarra Capital: in relation to the sale of 100% of the shares in INX Software.
  • PMY: on the $40m investment in the company by Bluestone Capital.
  • Advent International (and its portfolio company Cobham Limited): on the divestment of its regional services business division to a subsidiary of Regional Express Holdings Limited and on the divestment of its special mission's business division to Leidos.
  • Adamantem: on entry into a binding Scheme Implementation Deed with QANTM Intellectual Property, under which Adamantem acquired QANTM via an all cash, or combination cash & scrip, transaction by way of a scheme of arrangement valued at A$261m.
  • Butterfly Equity: on its acquisition of Bolthouse Farms from Campbell Soup Company for $510m.
  • Butterfly Equity: on its acquisition of a majority stake in Orgain, Inc (leading plant-based functional nutrition platform).
  • BioClinica: on its sale of its clinical research site business to Accelerated Enrolment Solutions, a division of Pharmaceutical Product Development LLC.
  • Cinven and its portfolio company Bioclinica: on the merger of Bioclinica with ERT.
  • Cinven and its portfolio company Bioclinica: on the acquisition of Saliency, Inc.
  • Victorian Government: on its $2.1 billion divestment of its shares in Snowy Hydro Limited to the Commonwealth Government.
  • Toll Holdings Limited: on its $6.5 billion acquisition by Japan Post.
  • Woolworths Holdings Limited (South Africa): on its $2.15 billion acquisition of David Jones by scheme of arrangement and Country Road by off-market takeover.

She holds a Bachelor of Arts and Juris Doctor from the University of Melbourne and is admitted to practice in New York and Australia.
