Ashurst Alumni Programme Terms and Conditions
These Alumni Programme Terms set out the terms and conditions applicable to your membership of and participation in the Ashurst Alumni Programme. The Alumni Programme provides a way for you to stay connected with Ashurst, current Ashurst colleagues and other Ashurst alumni with whom you previously worked and gives you access to Ashurst Alumni events, publications, Alumni website (ashurst.com/alumni) and Ashurst Alumni LinkedIn group. The Ashurst Alumni Programme and the Alumni website is provided by Ashurst LLP, [Ashurst Australia] and its affiliates (Ashurst or we).
Eligibility
You must be an Ashurst colleague or alumni (former staff member or partner of Ashurst or Blake Dawson) to be eligible to be an Alumni Programme member. We reserve the right to refuse or suspend access to any person at our absolute discretion. Former staff who were with the firm for less than six months or on contracts of less than 12 months may not be eligible. We also reserve the right to suspend access to any person at our absolute discretion in certain circumstances, including, but not limited to, when that individual or their employer is involved in a live bid process with Ashurst.
Registration
In order to join the Alumni Programme you must first complete the application form available on the Alumni website or via the alumni programme invitation email sent to leavers. You agree to provide us with only accurate, current and complete information and to update your information when it becomes out of date or inaccurate by notifying us promptly through the website or in writing. You should update your information when it becomes outdated by emailing us at alumni@ashurst.com or other means. If you provide any information that is illegal, misleading, inaccurate, not current, or incomplete, or we have reasonable ground to suspect that such is the case, we have the right to suspend or terminate your registration.
Privacy
Your membership of and participation in the Alumni Programme is subject to our Privacy Policy, which is a part of and incorporated into these terms. By participating in the Alumni Programme and using the Alumni website, you confirm your agreement with and understanding of our Privacy Policy which provides information about our handling of your personal information.
In the event of any conflict between these terms and our Privacy Policy, these terms shall prevail. Our use of your registration information is subject to our Privacy Policy and these terms. We may retain your registration and other personal information in accordance with our usual data retention policy and practices (for as long as is reasonably necessary in the circumstances), in order to use it for compliance with these terms and any applicable legal requirements, so as to modify and improve the Alumni website, as well as for any other purpose authorised by these terms or our Privacy Policy. You may instruct us to delete your information at any time.
We collect personal information such as your name, your email address, information about your current employment and about your time with Ashurst. You may also choose to provide additional information about yourself to us, such as information about your preferences for engaging with the Programme and information about your personal qualifications.
We collect personal information through your registration and other use of the Alumni website, information that we hold about you from your time with Ashurst, publicly available information about you and information that you provide or that is provided about you from time to time by other Alumni Programme members.
We use this personal information to connect you with other alumni and Ashurst staff, to customise the content we deliver in publications, at networking events and on the Alumni website and to contact you (by email and other means) about our alumni and firm news and events and to organise such events and in the delivery of the Alumni Referral Reward programme, unless and until you use the "unsubscribe" option in the email or other material.
A photographer may be in attendance at many of our events. You will be provided an opportunity to let us know if you do not want your photograph included in any publication in relation to the event or the Alumni Programme.
You can update your personal information and raise privacy concerns by contacting us using the methods described in our Privacy Policy.

Your content provided for publishing
In participating in the Alumni Programme, you may have the opportunity to post, submit, publish, distribute or otherwise share information, images, videos, photographs, graphics, music, materials, data or other content and materials ("Your Content") with us for publication (including without limitation, on our Alumni website, Ashurst website, Ashurst Alumni LinkedIn group or in our alumni newsletters and yearbook.).
You are entirely responsible for all of Your Content that you upload, post, email or otherwise share with Ashurst and the Ashurst Alumni Programme, including via the Ashurst Alumni LinkedIn group and Ashurst websites. You agree that by providing Your Content, Ashurst shall own and have the right to publish, use and otherwise exploit any information that you publish, post, submit or otherwise share with the Alumni Programme and/or on the Alumni website or Ashurst Alumni LinkedIn group and you automatically grant to us and our affiliates, a worldwide, non-exclusive, assignable, sublicensable, transferable, perpetual, irrevocable licence to use, publish, reproduce, modify, publicly display, distribute and otherwise exploit, Your Content for any purpose and in any media or form, not prohibited by applicable law. You waive any claims against us for alleged or actual infringement of any intellectual property rights, moral rights or rights of attribution in connection with our use of Your Content as permitted by these terms. You agree that we may disclose or preserve content if required to do so by law or in good faith belief that such disclosure or preservation is reasonably necessary to: (a) comply with legal process; (b) enforce these terms; (c) respond to claims that any content violates the rights of third- parties; or (d) protect the rights, property, or personal safety of any of us, our agents and employees, our users and the public.
You agree that you shall not to upload otherwise publish or make available through the Alumni Programme or via the Alumni website, Ashurst Alumni LinkedIn group or Ashurst website, any content in Your Content: (a) that is offensive, untrue, misleading, harmful, threatening, abusive, harassing, tortious, defamatory, discriminatory, obscene, libelous, invasive to another person's privacy or personal data, hateful, or racially, ethnically or otherwise objectionable; (b) that would constitute or that encourages conduct that would constitute a criminal offence or give rise to civil liability; (c) that infringes the intellectual property, privacy or other rights of any third parties; (d) of a type that you do not have a right to transmit under any law or regulation, such as inside information and proprietary and confidential information (including confidential information or opinions about our clients, current or former); (e) that contains unauthorised advertising; (f) that contains a software virus or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment; (g) that contains data or information obtained through access that was not authorised by the owner of the data; (h) that constitutes or contains false or misleading statements including for the purpose of misrepresenting your identity or your reason or intent for posting user content; (i) in violation of any applicable local, state, national or international law, regulation, or statute (including export laws); or (j) breaches these terms or is designed to interfere with our provision of the Alumni website, Alumni Programme or Ashurst Alumni LinkedIn group and the reasonable use and enjoyment of it by other Alumni Programme members.
We do not monitor the accuracy, reliability or quality of content, information, materials, data, comments, opinions or statements shared on the Alumni website or otherwise via the Alumni Programme. We do not and cannot review all information posted to the Alumni website and you agree that we are not responsible or liable in any way for such information. You also acknowledge and agree that we do not endorse or monitor content accessible from third party websites that are linked to the Alumni website and we do not accept any liability or responsibility for any loss or damage that you might suffer as a result of accessing such third party websites. We reserve the right to refuse to post and to modify or remove any content, in whole or in part, at any time, for any reason or for no reason. We do not endorse any opinion, advice, information, or statement made through the Alumni website or via the Alumni Programme or Ashurst Alumni LinkedIn group and we will not be liable in any way for any content or for any loss or damage of any kind incurred as a result of the use of any content posted, emailed, or otherwise transmitted via the Alumni website. We are not obliged to display or publish Your Content.
General
You agree that from time to time we may, at our sole discretion, modify, add or remove any or all parts of these terms and our Privacy Policy. Such modifications will be effective immediately upon posting of the modified terms on the Alumni website. Your continued use of the Alumni website following the posting of changes to these terms will mean that you accept those changes. You are responsible for keeping yourself updated in relation to any changes to these terms, checking back regularly to review these terms and any updates to them.
Nothing on the Alumni website, the documents available through it, nor our other Alumni related publications constitutes legal or other professional advice.
The trademarks, designs, logos and service marks (together, the "trademarks") displayed in connection with the Alumni website and any Alumni Programme publications or events are the registered and unregistered trademarks of Ashurst and our licensors. You agree that except as expressly permitted by us (or our licensors as the case may be) you will not (i) use or reproduce any trademark of ours or our licensors, or imply any endorsement by us or our licensors; (ii) refer to or attribute any information to us or our licensors in any public medium for promotional or advertising purposes or for the purpose of influencing any third party.
Our rights under these terms may be waived only in writing and are cumulative and not exclusive of rights or remedies provided by law.
No agency, partnership, joint venture, or employee-employer relationship is intended or created by these terms. Save in relation to the Ashurst group, neither you nor we intend that any third party will be a beneficiary of or entitled to rely on any part of these terms.
If any provision in these terms is or becomes invalid, illegal or unenforceable then it shall, to the extent required, be severed and shall be ineffective and the validity of the remaining provisions shall not be affected in any way.
You may not transfer, assign or delegate your rights or obligations as set out in these terms to anyone without our prior written permission. We shall have the right to transfer, assign and/or delegate these terms to one or more third parties without your permission.
These terms (including terms incorporated into them such as the Privacy Policy) comprise the entire agreement the entire agreement between you and us with respect to the use of the Site and replaces all prior agreements between the parties regarding the use of the Site.
References to "Ashurst", "we" or "us" in these terms are references to Ashurst LLP, a limited liability partnership incorporated in England and Wales with registered number OC330252 and registered office at London Fruit & Wool Exchange, 1 Duval Square, London, E1 6PW and its affiliated firms or other entities carrying on business outside the United Kingdom under or including the name "Ashurst" and any successors or assignees.
These terms and the provision of the Alumni Programme, Alumni website and use of Your Content and any dispute between us relating to them will be governed by the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales.
Ashurst Alumni – Terms and Conditions for booking meeting rooms (UK)
General
These Terms and Conditions govern the procedure for Booking Meeting Rooms, Equipment and other Services (as stipulated on the Booking form) which we supply to Ashurst Alumni and which are made available at the Premises (all capitalised terms are defined below).
Please read these Terms and Conditions carefully. By continuing with your Booking, you agree to accept these Terms and Conditions. In particular, we draw your attention to clause 9 (Limitation of liability).
In these Terms and Conditions:
Ashurst means Ashurst LLP.
Ashurst Group means Ashurst LLP and Ashurst Australia (ABN 75 304 286 095); any entity (including a trust) owned or controlled by, or affiliated with, either of them; any entity authorised to use the name "Ashurst"; and all their respective successors and assigns.
Booking means your Meeting Room booking made in accordance with these Terms and Conditions.
Booking Confirmation means the booking confirmation we send to you when you submit a Booking request form.
Confidential Information means information about any member of the Ashurst Group, any of their clients (current or former), or any person, firm, corporation or other entity with whom they deal which relates to any of their respective businesses or their financial or other affairs (without limitation) and which is not in the public domain.
Equipment means the equipment we make available for use for the duration of your Booking.
Meeting Room means the furnished office space we provide for your use on a temporary basis for meetings, conferences or other business purposes at any of our Premises.
Premises means a building or property owned or leased by us, or by any other company in the Ashurst Group, which contains Meeting Rooms used for Bookings.
Services means the Meeting Rooms and other related services (including, but not limited to, Equipment and conference call facilities) which we make available to you from time to time, subject to these Terms and Conditions.
we, our or us means Ashurst LLP (or relevant Ashurst Group company).
You or your means Ashurst Alumni.
Bookings
In order to book a Meeting Room:
(a) You must be a registered member of the Ashurst Alumni programme. We verify this when you submit a Booking request form.
(b) You must submit your request in writing using the Booking Request Form on the Alumni section of ashurst.com.
We will send you a Booking Confirmation setting out the details and any conditions of the Booking. By continuing with your Booking, you agree to be bound by these Terms and Conditions.
All Bookings are subject to availability and requests must be received by us at least two weeks in advance of the proposed event.
We reserve the right to refuse access to any person for any reason at our absolute discretion. You must give us adequate notice of any attendee who is likely to attract [significant media and/or public attention, such as celebrities or politically exposed persons.]
Use of Meeting Rooms and Equipment
The subletting of Meeting Rooms or Equipment or Services is not permitted.
Any complaint about the Meeting Room or any of the Services or Equipment provided must be made in writing and received by us within 14 days of your meeting.
Smoking is not permitted on the Premises.
Permission to film an event must be obtained from us at least 48 hours in advance. We reserve the right to refuse any such request, at our sole discretion.
Food and drink must not be brought into the Premises for resale on the Premises.
You must leave the Meeting Room, any communal areas you are permitted to access and the Equipment clean, tidy and arranged in the same way as you found it.
You are responsible for ensuring your behaviour and that of your guests is appropriate at all times. You must comply with all instructions on health and safety, conduct and security given to you by any Ashurst employee or representative at all times while you are on the Premises.
You must declare the purpose of the Booking when you submit your request, and the Meeting Room and Equipment must be used only for that purpose (and for that agreed length of time).
You must not use the Meeting Room, communal areas, Services or Equipment (i) for any unlawful, fraudulent, criminal, immoral or similar purpose; (ii) in connection with any activity that is in breach of any applicable legislation, rules, regulations or orders of applicable authorities; (iii) for any matter or activity that is in competition or conflict with our business; or (iv) for the purposes of soliciting any of our staff.
You must not use the Meeting Room or Equipment in a manner that could (i) result in nuisance, annoyance or disturbance to us or any other users of the Premises; (ii) damage the Premises in any way; (iii) damage the goodwill and reputation of the firm; or (iv) bring the firm into disrepute.
Your Ashurst Alumni programme membership will be terminated if you breach any of these Terms and Conditions.
You must give us adequate notice of any unusual activities due to take place in the Meeting Room and we reserve the right, at our absolute discretion, to refuse to allow such activities to take place.
If you plan to use your own computer or laptop during the Booking, it must be in good working order and compatible with a USBC docking station in order to use the screens we provide.
Any additional technical equipment you wish to bring into the Meeting Room must be agreed with us before the event and all such equipment must be in good working order.
You must not disconnect, change or tamper with any cabling or connections in the Meeting Room. In the event of any technical issues relating to our Equipment, you should notify us immediately and our IT staff will endeavour to rectify this for you.
You must not move furniture, moveable goods or Equipment from the Meeting Room to any other part of the Premises, or from any other part of the Premises to the Meeting Room, without our prior consent.
We do not hold adaptors or chargers, so please bring your own (if required).
You may use our free guest Wi-Fi subject to your complying at all times with any terms and conditions of use and these Terms and Conditions.
You must not use our name or other identifying feature for advertising or publicity purposes without our prior written consent.
You must not at any time use, disclose, divulge, publish or communicate to any person, except as required by law or any legal or regulatory authority, any Confidential Information which has, or which may at any time in the future, come directly or indirectly to your knowledge while using our Premises.
Sign-in procedure
Ashurst Alumni members and their guests using our Meeting Rooms, Services and Equipment must sign in on arrival at the relevant Ashurst office reception.
Visitor passes must be worn at all times.
You must provide the names of all your guests when you submit your Booking.
Catering
Complimentary tea/coffee/water and biscuits for up to six people will be provided in the Meeting Room at the start of the booking time.
Cancellation
You may cancel your Booking by emailing alumni@ashurst.com.
We reserve the right to cancel the allocated and confirmed Meeting Room with immediate effect for urgent business reasons, or for any other reason, at our sole discretion. We will endeavour to provide an alternative where possible.
Changes to Bookings
You may amend your Booking by emailing alumni@ashurst.com.
Please notify us of any changes as soon as possible. We will let you know whether the change can be accommodated.
We reserve the right to change the allocated and confirmed Meeting Room, at our sole discretion. We will aim to provide an alternative Meeting Room of similar size and quality.
On occasion, the Services may be affected by circumstances beyond our control. In such circumstances, we reserve the right to make changes to, or cancel, your Booking.
Changes to these Terms and Conditions
We reserve the right to make changes to these Terms and Conditions from time to time. Where possible, we will give you reasonable notice of any changes and the date on which they take effect.
Limitation of liability
Nothing in these Terms and Conditions shall limit or exclude liability for death or personal injury caused by your negligence, or the negligence of any of our or your employees, agents or subcontractors, or liability for fraud or fraudulent misrepresentation.
Subject to clause 9.1, we are not liable to you for (i) any loss, injury or damage (direct or indirect) sustained as a result of any deficiency in any part of the Equipment or Premises; (ii) death of or injury to any person; (iii) damage to any property; or (iv) any losses, claims, demands, actions, proceedings, damages, costs or expenses or other liability incurred by you in the exercise or purported exercise of your rights under these Terms and Conditions.
This clause 9 shall survive termination of the arrangements governed by these Terms and Conditions.
Damages
You agree that the Premises, Meeting Room, Equipment and Services in their current condition are in all respects fit for purpose. You agree to leave the Premises, Meeting Room, Equipment and Services in the same condition (to our reasonable satisfaction) at the end of your Booking.
You are responsible for the Meeting Room for the duration of your Booking. Any damage to the Meeting Room (or any other part of the Premises) or to the Equipment or Services (or your own equipment while on our Premises) sustained as a result of the behaviour or negligence of you or your invitees (or your/their representatives) will result in our sending you an invoice (which must be paid within seven days of the invoice date) for the cost of repair and/or replacement and/or cleaning, as well as the value to us of any subsequent loss of business or trade or other commercial activity suffered by us as a result of such damage.
Data
We refer you to our Privacy Notice, which sets out how we collect and process your personal data (and the data of any person attending your meeting at the Premises).
We and Ashurst Alumni agree to comply with all applicable data protection laws and regulations in respect of any Booking, including the terms of any additional data processing agreement required under applicable law.
Force majeure
We shall not be liable in any way for failure to perform our obligations under these Terms and Conditions in relation to a Booking if the failure is due to events or circumstances outside our reasonable control.
Governing law and jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales and any dispute arising under these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
