Rehana is a pre-eminent insurance lawyer, highly regarded globally and boasting over 30 years' experience. Head of our global insurance industry group, Rehana's roles acting for insurers, intermediaries and insureds, as well as placement of Ashurst's own global insurance program, gives her deep insight of the insurance industry and its issues and challenges.

Rehana advises general and life insurers and reinsurers on regulatory compliance, establishing Australian insurance operations, reinsurance, distribution agreements, outsourcing and policy wordings.

She has advised on major share and asset sales, privatisations, IPOs, migrations and portfolio transfers for both life and general insurers.

Rehana also advises governments and corporates on insurances for acquisition, sustainment infrastructure, construction, and general corporate risks. This includes drafting contractual insurance requirements; auditing compliance with such requirements and assisting with placing and negotiating insurances and assessing their appropriateness. She also assists with developing alternative risks management solutions to insurance, including captive insurance arrangements and discretionary and non-discretionary mutuals.

Rehana has particular expertise in directors' & officers' liability insurance and indemnities, cyber insurance, environmental insurances, marine and aviation insurances and warranty and indemnity insurance.

Rehana is a thought leader within the industry more generally, sitting on the national committee of the Australian Professional Indemnity Association, a board member of PARIMA, and a member of the Financial Sector Association Life Insurance Group. She is the NSW editor of the Insurance Law Bulletin, a co-editor of Wickens on Life Insurance and the author of the warranty and indemnity insurance chapter in Practical Law Australia.

Highlights of Rehana's deal experience include advising:

  • AGL on D&O insurance issues and deeds of indemnity; advising on property insurances; and advising on insurance coverage for Loy A Yang Power Station.
  • AIA Group on its acquisition of 100% of CBA's life insurance businesses in Australia (CommInsure Life) and New Zealand (Sovereign) for A$3.8 billion.
  • ANSTO on developing a suite of contractual insurance clauses for template construction and service contracts and running workshops for contractual negotiators. Advising on principal placed construction insurances for a new Nuclear Medicine Facility to be constructed.
  • BlueScope on directors' deed of access, insurance and indemnity issues including in relation to cover for alleged breaches of competition laws by certain management personnel.
  • BMS on its acquisitions of Bluebook Insurance Brokers, Western United Financial Services, Austbrokers Coast to Coast, Gard Insurance, ALE and others.
  • Envest on a take private of another broker and agency group by Ardonagh and the transfer of the Australian business to Envest and later follow on transactions.
  • Department of Defence on insurance and indemnity arrangements in over 150 Department of Defence procurement contracts, including establishing the Approved Contractor Insurance Program (ACIP); authoring the ASDEFCON template insurance clauses and establishing the Maritime Insurance Program in 2018 to insure all future Defence maritime build and sustainment contracts. Advised on construction insurances for the development of Techport Adelaide.
  • EnergyAustralia on developing template insurance requirements for works, supply, service and technology contracts and providing related handbooks and training. Advising on captive insurance and mutual options.
  • Munich Re on the termination or novation of agency arrangements as part of an internal restructuring of Great Lakes and on the later transfer of agency written policies to Gordian Run-off by an Insurance Scheme.
  • Mitsui on its minority investment in a New Zealand MGA, with acquisition rights.
  • Sompo on its strategic investment in Cover Genius for a minority stake of 10.42% by way of subscription for preference shares as part of Cover Genius' Series C fund raising and on its strategic partnering agreement with Cover Genius.
  • Sydney Metro on insurances for the Sydney Metro project including excavation risks.
  • Tianlong Ribbon on construction and deign insurances for the Ribbon Development at Darling Harbour Sydney including advising on two mid construction contractor changes resulting in complex run-off and insurance coverage issues.
  • White Oak on claims litigation involving IAL, Bond and Credit Company (an MGA, Tokio Marine, Marsh and others concerning recoveries trade credit insurance policies written for the Greensill group.
  • Western Sydney Airport on insurances for a range of consultancy and construction contracts for the construction of Western Sydney Airport including early earth moving contracts, tender for construction works and template consultancy agreements.
