Massimo has extensive experience assisting listed companies, including banks, providing advice on corporate governance and commercial law.
He regularly assist boards of directors, internal committees and boards of statutory auditors in the management of ordinary activities and extraordinary M&A transactions, such as company and business unit acquisitions, mergers (direct and reverse) and takeover bids, also handling communications with supervisory authorities, preparing the opinions required by law and drafting minutes of meetings.
In the area of equity capital markets, Massimo assists companies in structuring and implementing listings on regulated markets and multilateral trading facilities, capital increases, takeover bids and exchange offers, and in drafting prospectuses and the corporate and regulatory documentation necessary for admission to trading, also handling relations with supervisory authorities (Consob, Borsa Italiana).
Massimo has specific experience in drafting internal regulations and procedures, including at group level, with a particular focus on management and coordination issues, directors' interests, related party transactions and the management and treatment of inside information.
He has also developed expertise in commercial contracts, negotiation and the drafting of investment agreements, shareholders' agreements, assisting Italian and international clients in investment transactions, joint ventures and the definition of governance structures.
