Client challenge

A global transport and logistics provider was reviewing its business in connection with a proposed divestment. They required urgent review of approximately 300 property leases and 700 supplier and customer contracts which formed part of the assets to be transferred. The contracts were in various formats, and many had been subject to numerous amendments.

Our solution

We worked with Ashurst's Corporate Transactions and Real Estate teams to:

  • design and build a digital collaborative platform to house the leases and contracts
  • undertake and report on due diligence of leases and contracts
  • develop an automated questionnaire to support the team’s initial AI review of documents
  • conduct a second level review with escalation to the client as necessary
  • draft and distribute correspondence, assignment deeds and novation deeds supported by our automated systems
  • establish a standalone project management platform to support the transfer of relevant leases and contracts
