Ashurst advises Terna on Acquisition of Brugg Kabel
International law firm Ashurst has advised Terna S.p.A. on the acquisition, through its subsidiary Terna Energy Solutions S.r.l., of a 90% stake in Brugg Kabel AG (Brugg Kabel) and its subsidiaries. Brugg Kabel is one of the leading European producers of terrestrial cables, active in the design, development, construction, installation and maintenance of electrical cables of all voltages and accessories for high voltage cables.
The closing of the transaction follows the agreement announced on 20 December 2019 by Terna S.p.A. The acquisition of Brugg Kabel will enable Terna Group to equip itself with a centre of excellence for production, research, development and testing in one of its core technologies, such as terrestrial cables, which will contribute to the implementation of Terna's strategic objectives.
The Ashurst Milan team, which also coordinated a large cross border team across Switzerland (Bär & Karrer AG), China, India (Indian Law Partners), Germany, UAE and Poland (SSW Solutions), was composed of partner Carloandrea Meacci, counsel Annamaria Pinzuti (transaction manager), Gabriele Accardo (competition and EU law aspects), partner Elena Giuffrè (administrative law and regulatory), assisted by Fabrizio Bergo, Yasmina Tourougou, Anna Giulia Chiarugi and Riccardo Rao.
