Ashurst advises Pricoa on unitranche financing in the cyber security sector

    The initial note proceeds will be used also to refinance certain financial indebtedness of S3K's subsidiaries, while future taps will support the target group's growth through acquisitions and investments.

    S3K is the parent company of the S3K Group, which comprises more than ten companies offering to private and public clients a wide range of cutting edge services and products in the field of security and intelligence, protection of critical infrastructure (including compliance with the NIS Directive), and cyber security.

    BNY Mellon acted as paying agent, notes trustee, and security agent, while Pavia e Ansaldo and Mayer Brown International LLP acted as legal counsel to the issuer.

    The Ashurst cross-border deal team was led by Milan banking partner Mario Lisanti, supported by counsel Gianluca Coggiola, associate Francesca Cioppi and trainees Martina Riva, Amedeo Bardelli and Guido Linzola. Milan-based tax partner Michele Milanese, together with trainee Federico Squarcia, advised on certain Italian tax aspects of the deal. The London team was co-led by partners Anna Delgado and Jeffrey Johnson, supported by senior associate Scott Chatterton. New York-based partner Sharon Kim provided US tax advice to Pricoa.
