Ashurst advised Resolution Life Group on key aspects of the transaction including legal due diligence, transaction structuring, regulatory issues/approvals and transaction documents.
The transaction is significant due to having successfully navigated complex and unique regulatory issues with regulators in both New Zealand and Australia. In particular, a bespoke trust and governance structure for assets to be held in New Zealand was required as part of the regulatory approval for the change in control in AMP Life.
