Ashurst advised Bosch Rexroth AG (Bosch Rexroth) on the sale of its hydraulic filter business to Hengst SE. Bosch Rexroth successfully concentrates on control and drive technologies under one roof and sets its focus increasingly on the provision of complete solutions. With this strategic orientation, the business of filters for hydraulic applications will not remain part of Bosch Rexroth's core business anymore. The sale is subject to the approval from competent cartel authorities and further standard market conditions regarding the effective execution of the transaction. The Parties agreed not to disclose the purchase price.
Bosch Rexroth is one of the world's leading companies, among other things, in the areas of filter business in industrial and mobile hydraulics as well as in drive and control technology. In the hydraulic filter business Bosch Rexroth develops complete filters and filter elements for industrial and mobile hydraulics applications with approximately 190 employees in the plant in Ketsch, Baden-Württemberg. The sale and transfer also includes the corresponding sales activities in more than 30 countries.
Ashurst cooperated very closely with the Bosch Rexroth inhouse legal team, especially with Dr Ewald Hümmer (Legal Project Lead) and Franziska Peter (Legal IP), both part of the team from Ingo Neuer (Lead Legal Team Bosch Rexroth).
The Ashurst team was led by Volker Germann (Counsel, Munich). He was supported by Partner Dr Thomas Sacher (Corporate M&A, Munich), Partner Dr Anders Kraft (Tax, Frankfurt), Juditha von der Heydt (Labour Law), Dr Bernd C. Bäumer (Real Estate), François Maartens Heynike (IP/IT) (all Counsel, Frankfurt), Dr Maria Held (Counsel, Competition, Munich) and Armin Müller (Associate, Corporate M&A, Munich).
